4. Inquiries, Quotations and Order Formation
Submitting an inquiry does not create a sales contract or oblige either party to proceed with an order.

- Minimum order quantities
- Shipping arrangements and destination
- Currency and payment conditions

Unless expressly included, quoted prices do not include import duties, destination taxes, customs charges, bank fees, insurance or other third-party expenses.
An order is considered accepted only after FONQUEN provides written confirmation through a proforma invoice, sales contract or equivalent order document and receives any required deposit or payment.
We may correct an obvious clerical, calculation or pricing error before accepting an order.
5. Samples, Specifications and Buyer Approval
Samples are provided to help the buyer assess structure, appearance, functionality and compatibility before mass production.
Before approving production, the buyer is responsible for checking, where applicable:
- Product model and capacity
- Material and component structure
- Pump, closure and inner-component configuration
- Color reference
- Artwork and decoration position
- Logo size and orientation
- Surface finish
- Packing requirements
- Intended use and filling conditions
Mass production will be assessed against the latest written and approved specifications, artwork and samples.
Digital images and screen colors are not independent color standards. Pantone references or approved physical color samples should be used where accurate color matching is required.
Reasonable production variations may occur within agreed specifications, samples, inspection standards or industry-appropriate tolerances.
6. Formula and Packaging Compatibility
The buyer is responsible for testing packaging samples with the final formula under the intended filling, storage, transportation and use conditions.
Compatibility testing should consider:
- Oils, alcohols, solvents and active ingredients
- Formula viscosity
- Pump output and dispensing performance
- Sealing and leakage performance
- Filling temperature and filling method
- Storage temperature
- Long-term formula contact
- Transportation conditions
Material suggestions or sample approval do not replace compatibility and stability testing with the final formula.
Unless otherwise agreed in writing, the buyer is responsible for determining whether the selected packaging and filled product satisfy the regulatory requirements of the destination market.
7. Customization, Artwork and Intellectual Property
The buyer is responsible for ensuring that logos, trademarks, artwork, text and other materials supplied for customization may lawfully be used.
By providing such materials, the buyer confirms that:
- It owns the relevant rights or has permission to use them
- The materials do not infringe third-party intellectual-property rights
- The requested content does not violate applicable law
FONQUEN may refuse artwork or customization that appears unlawful, misleading or infringing.
Ownership, storage and future use of custom molds, tooling, print plates and production files will be determined by the applicable quotation or order agreement.
8. Order Changes and Cancellations
Requests to change an approved order may affect:
- Product price
- Minimum order quantity
- Sampling cost
- Material availability
- Production lead time
- Packing requirements
- Shipping arrangements
No change is effective until confirmed in writing by FONQUEN.
Once sampling, material purchasing, tooling, decoration or production has begun, cancellation may result in charges for work completed, materials purchased and other non-recoverable costs.
Any deposit, refund or cancellation arrangement will be handled according to the applicable quotation, proforma invoice or sales contract. A cancellation is not effective until accepted in writing.
9. Production and Lead Times
Production and delivery dates are estimates unless expressly guaranteed in a written sales agreement.
A quoted production period normally begins only after:
- Required payment has been received
- Samples and specifications have been approved
- Artwork has been confirmed
- All necessary production information has been provided
FONQUEN is not responsible for delays caused by late payment, delayed approval, incomplete information, repeated specification changes or other buyer-controlled circumstances.
If a material, component or process becomes unavailable, we will discuss an alternative or revised schedule with the buyer before proceeding.
10. Packing, Shipping and Risk Transfer
Packing specifications and shipment arrangements will be confirmed for each order.
The applicable Incoterms® 2020 rule and named place stated in the quotation, proforma invoice or sales contract will determine the agreed allocation of delivery responsibilities, costs and risk.
Depending on the selected trade term, the buyer may be responsible for:
- Appointing a freight forwarder
- Main transportation
- Cargo insurance
- Import clearance
- Import duties and taxes
- Destination handling
- Transport risk after the agreed delivery point
Estimated freight costs may change before booking because of carrier rates, fuel surcharges, chargeable volume, destination charges or other logistics factors.
The buyer should confirm whether cargo insurance is required before shipment.
11. Inspection, Claims and Remedies
The buyer should inspect the goods promptly after receipt and report any suspected quality, quantity, specification or transport issue within the period stated in the applicable order documents.
A claim should include reasonable supporting evidence, such as:
- Order or proforma invoice number
- Affected product and quantity
- Clear photos or videos
- Outer-carton and carton-mark photos
- Shipping labels
- Inner packing condition
- Carrier damage records, where applicable
Confirmed claims are handled according to the approved specifications, order terms and our Quality Assurance & Claims policy.
Possible remedies may include replacement, remake, credit, partial refund or another solution agreed in writing.
Customized goods cannot be returned solely because the buyer changes its mind or no longer requires them.
Goods must not be returned without prior written authorization from FONQUEN.
12. Force Majeure
Neither party will be responsible for delay or failure caused by circumstances beyond its reasonable control, including:
- Natural disasters
- Fire, flood or extreme weather
- War, civil unrest or government action
- Epidemics or public-health restrictions
- Port closure or transport interruption
- Customs or regulatory action
- Power, network or equipment failure
- Serious material shortage
- Labor disruption
- Events affecting suppliers or carriers that could not reasonably be prevented
The affected party should notify the other party within a reasonable period. The parties will discuss an adjusted schedule, alternative solution or cancellation of the affected portion where continued performance becomes impractical.

20. Severability and Waiver
